Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Kevin Luma, LLC ("Kevin", "we", "us", or "our") governing your use of our memory-first AI super agent platform, related APIs, applications, and services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization.

1. AI Safety and Acceptable Use

Kevin Luma, LLC builds powerful AI tools intended to automate business logic and scale enterprise productivity. However, deploying AI orchestration requires strict adherence to safety controls. You agree not to use the Services to:

  • Generate, distribute, or facilitate the creation of malicious software, phishing payloads, or illegal content.
  • Circumvent or attempt to disable the platform's safety guardrails, orchestration limits, or token tracking systems.
  • Deploy subagents into unauthorized external systems or integrate with APIs without holding the necessary permissions for those target environments.
  • Engage in automated scraping or unauthorized data harvesting of the Kevin platform itself.

We reserve the right to suspend or terminate your API keys and account access immediately, without notice, if we determine that your usage violates these safety protocols.

2. Rate Limiting and Fair Use

API access and orchestration tasks are subject to rate limiting and quotas to ensure platform stability for all enterprise tenants. We throttle excessive subagent loops and runaway processes to protect infrastructure.

If your account exceeds the standard usage limits associated with your tier, we may queue your tasks, temporarily pause execution, or require you to upgrade to a higher tier. "Infinite loops" caused by poorly configured workflows are the user's responsibility, and tokens consumed during runaways are non-refundable.

3. LLM Output Liability

The Services rely on Large Language Models (LLMs) and probabilistic AI orchestration. You acknowledge that AI systems may occasionally produce outputs that are inaccurate, unpredictable, or "hallucinated."

No Warranty on Outputs: Kevin Luma, LLC does not guarantee the factual accuracy, reliability, or completeness of the outputs generated by the AI agent. You are solely responsible for reviewing and verifying any actions taken by the AI on your behalf, especially those interacting with third-party CRM, financial, or communication tools. Kevin Luma, LLC shall not be held liable for business losses, data corruption, or reputational damage resulting from unverified AI actions.

4. Data Retention and Memory

The core value of Kevin is its "memory-first" architecture. We retain conversation context, execution logs, and embedded vectors to provide continuity across your workflows. You retain all ownership rights to the prompts, content, and external data you provide ("Customer Data").

Upon account termination, you may request the deletion of your Customer Data. We will purge your vector embeddings and conversation history within 30 days, subject to our legal and compliance backup retention policies.

5. Dispute Resolution and Arbitration

Please read this section carefully as it affects your legal rights. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be subject to binding arbitration, rather than in court.

The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The seat of the arbitration shall be San Francisco, California. Mass action lawsuits and class actions are expressly prohibited.

6. Modifications to the Terms

We may modify these Terms at any time. We will provide notice of material changes by sending an email to the address associated with your account or by prominently posting a notice on the platform. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.
